Terms of Service

These terms govern your use of AlvaDocs, an automatic invoice capture and data extraction platform operated by Alvarium Technology S.R.L., a company incorporated under the laws of the Dominican Republic, used and promoted by Alvarium Standard S.R.L.

By creating an account or using the Service you accept these terms in full. If you do not agree, do not use the Service.

1. Service description

AlvaDocs allows individuals and businesses to upload invoice images and PDFs and receive structured data extracted by artificial intelligence (vendor, TRN/RNC, line items, taxes, totals, etc.). The Service includes CSV/PDF export, organization by categories and projects, and multi-company team collaboration.

2. Account

You must be at least 18 years of age and have legal capacity to enter into contracts.
The information you provide upon registration must be truthful, current and complete.
You are responsible for maintaining the confidentiality of your access credentials and for all activity performed under your account.
You must notify us immediately of any unauthorized use of your account at support@alvadocs.com.

3. Acceptable use

You may not use the Service to:

Upload illegal, fraudulent, defamatory content, or content that infringes third-party rights.
Attempt to access other users' data or circumvent security controls.
Execute DDoS attacks, mass scraping, reverse engineering, or decompilation of the Service.
Upload false or manipulated invoices with intent to defraud third parties (including your own tax authority).
Resell or sub-license the Service without our express written consent.

4. Artificial intelligence · no accuracy guarantee

Data extraction is performed with third-party AI models (currently Anthropic Claude). Although we work to maximize accuracy, AI can make mistakes: vendors, dates, totals, or taxes may be read incorrectly. That's why the Service flow asks you to manually validate each invoice before approving it.

You are responsible for reviewing the accuracy of the extracted data before using it for tax filings, accounting, or any other purpose with legal or financial consequences. AlvaDocs is not responsible for extraction errors that you have not corrected during validation.

5. Subscriptions and payments

AlvaDocs offers a Free plan with reasonable limits and paid plans (Pro, Business, and Enterprise). The current prices, limits, and benefits of each plan are published on our pricing page and may be updated with 30 days' prior notice. We reserve the right to change or limit the Free plan quotas with the same notice.

5.1 Billing cycle and renewal

Paid plans are billed per service month and renew automatically at the start of each period until you cancel. You may cancel at any time; cancellation takes effect at the end of the period already paid for, during which you keep access to your plan's features. We do not issue refunds for periods already started.

5.2 Additional users (seats)

The Business plan includes one administrator user plus a number of users at no additional charge, as stated on the pricing page. The administrator may invite additional users; each extra user is billed as a monthly seat, at the current per-seat price published on that same page.

Seat billing is calculated per full month, with no proration:

Adding a user mid-month: when you add a user, their seat is charged as a full month immediately, regardless of the day in the cycle on which it is added. That user can access and work with their account for the entire billing month.
Removing a user mid-month: when you remove a user, the seat already billed is not prorated or refunded. The removed user keeps access until the end of the current billing period, and the seat stops being charged from the following period.

The same full-month, no-proration rule applies to plan changes: an upgrade may result in the new plan being charged for the current month, with no credit for the previous plan.

5.3 Taxes

Published prices may not include applicable taxes (ITBIS in the Dominican Republic, GCT in Jamaica, or others depending on your jurisdiction), which will be added to the charge where applicable.

6. Intellectual property

6.1 Your content

The invoices you upload and the extracted data are yours. You retain all rights to your content. You grant us a limited license to store, process, and display that content solely for the purpose of providing you the Service.

6.2 Our Service

The software, design, AlvaDocs brand, logo, site copy, and source code are property of Alvarium Technology S.R.L. You may not copy, modify, or redistribute these elements without prior written authorization.

7. Privacy

The processing of your personal data is governed by our Privacy Policy, which is an integral part of these terms.

8. Limitation of liability

To the maximum extent permitted by law, AlvaDocs and its affiliates will not be liable for:

Indirect, incidental, consequential, or punitive damages arising from the use or inability to use the Service.
Loss of data, revenue, business opportunities, or anticipated savings.
Errors or omissions in AI-extracted data when you have not exercised your duty of manual validation prior to approval.
Service interruptions caused by infrastructure providers (Supabase, Vercel, Anthropic, etc.) or force majeure events.

Our total aggregate liability to you for any claim related to the Service shall not exceed the amount you paid for the Service in the 12 months preceding the event giving rise to the claim (or, if no payments were made, the equivalent of USD 100).

9. Indemnity

You agree to indemnify and hold harmless AlvaDocs and its affiliates from any third-party claim arising from your use of the Service in violation of these terms, including but not limited to uploading illegal content or fraudulent use of extracted data.

10. Suspension and termination

You may close your account at any time from Settings or by writing to hello@alvadocs.com.
We may suspend or terminate your account with or without notice if you violate these terms, if your use endangers Service integrity, or if required by a competent authority.
Upon termination, your access to the Service ceases and your data is deleted as described in the retention section of the Privacy Policy.

11. Modifications to these terms

We may update these terms as the Service evolves. If changes are material, we will notify you by email at least 30 days in advance. Continued use of the Service after the new terms take effect constitutes your acceptance.

12. Jurisdiction and applicable law

These terms are governed by the laws of the Dominican Republic. Any controversy arising from or related to these terms shall be submitted to the exclusive jurisdiction of the competent courts of the city of Santo Domingo, Dominican Republic, unless mandatory law of your country of residence provides another non-waivable forum.

13. General provisions

If any clause of these terms is declared invalid, the remaining clauses shall remain in effect.
These terms, together with the Privacy Policy, constitute the complete agreement between you and AlvaDocs regarding the Service.
Our inaction in the face of a violation by you does not constitute a waiver of our right to act on future violations.
